1. Acceptance of Terms
By accessing, browsing, or using any ROHQ platform, software, service, application, website, or associated system (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") in their entirety. If you do not agree to these Terms, you must immediately cease all use of the Services. Your continued access to or use of the Services following the posting of any changes to these Terms constitutes acceptance of those changes. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and ROHQ and its affiliates, subsidiaries, and related entities ("ROHQ," "we," "us," or "our").
2. Access and Licensing
Access to ROHQ Services is provisioned on a per-client, per-product basis and is subject to ROHQ's sole and absolute discretion. ROHQ reserves the right to deny, restrict, suspend, or terminate access to any or all Services at any time, for any reason or no reason, without prior notice and without liability. Any license granted to you is non-exclusive, non-transferable, revocable, and limited in scope to the specific terms set forth in your individual agreement. Unauthorized access, attempted access, or use of the Services beyond the scope of your license is strictly prohibited and may result in immediate termination and legal action.
3. Intellectual Property
All software, source code, object code, algorithms, data structures, system architectures, documentation, designs, trade secrets, methodologies, processes, workflows, user interfaces, content, trademarks, logos, and all other materials and intellectual property embodied in or associated with the Services are and shall remain the sole and exclusive property of ROHQ. No right, title, or interest in any intellectual property is transferred to you under these Terms. You may not copy, modify, adapt, translate, reverse engineer, decompile, disassemble, create derivative works from, or otherwise attempt to derive the source code or underlying ideas or algorithms of any part of the Services. Any feedback, suggestions, or ideas you provide to ROHQ shall become the exclusive property of ROHQ without any obligation of compensation or attribution to you.
4. Use Restrictions
You agree not to: (a) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure of the Services; (b) modify, translate, or create derivative works based on the Services; (c) redistribute, sublicense, sell, resell, transfer, assign, or otherwise make available the Services or any portion thereof to any third party; (d) use the Services to build a competitive product or service; (e) use the Services to store, transmit, or process any data in violation of applicable laws; (f) interfere with, disrupt, or place an undue burden on the Services or any networks or servers connected thereto; (g) use the Services for benchmarking, performance testing, or competitive analysis without ROHQ's prior written consent; or (h) circumvent any security features, access controls, or usage limitations of the Services.
5. Data and Privacy
ROHQ may collect, store, process, and analyze data related to your use of the Services, including but not limited to usage patterns, system logs, metadata, performance data, and operational metrics. ROHQ retains an irrevocable, perpetual, worldwide, royalty-free right to use anonymized and aggregated data derived from your use of the Services for any purpose, including but not limited to improving the Services, developing new products, conducting research, and generating benchmarks. Your use of the Services is also governed by our Privacy Policy, which is incorporated herein by reference.
6. Service Availability and Modifications
ROHQ provides the Services on an "as available" basis and makes no guarantees regarding uptime, availability, performance, or continuity. ROHQ reserves the right to modify, update, suspend, discontinue, or remove any feature, functionality, or component of the Services at any time, with or without notice, and without liability to you. ROHQ is under no obligation to maintain, support, or update the Services or any component thereof. Scheduled or unscheduled maintenance, infrastructure changes, or system upgrades may result in temporary interruptions for which ROHQ shall bear no responsibility.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROHQ, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, REVENUE, BUSINESS OPPORTUNITY, OR USE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ROHQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ROHQ'S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO ROHQ IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS LESS.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR COMPLETENESS. ROHQ DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SERVICES. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM ROHQ SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
9. Indemnification
You agree to indemnify, defend, and hold harmless ROHQ and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys' fees) arising from or related to: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any claim that your use of the Services caused damage to a third party. This indemnification obligation shall survive the termination of these Terms and your use of the Services.
10. Termination
ROHQ may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including but not limited to a breach of these Terms. Upon termination, your right to use the Services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability. ROHQ shall have no obligation to retain, return, or provide access to any data, content, or materials following termination.
11. Modifications to Terms
ROHQ reserves the right to modify, amend, or replace these Terms at any time in its sole discretion. Material changes will be posted on this page with an updated effective date. Your continued use of the Services after any such changes constitutes your binding acceptance of the revised Terms. It is your sole responsibility to review these Terms periodically. ROHQ is under no obligation to notify you individually of changes to these Terms.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ROHQ's principal operating entity is established, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration conducted in the jurisdiction of ROHQ's choosing. You waive any right to participate in class action lawsuits or class-wide arbitration. The prevailing party in any arbitration or legal proceeding shall be entitled to recover its reasonable attorneys' fees and costs from the other party.
13. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
14. Entire Agreement
These Terms, together with the Privacy Policy and any separate written agreements executed between you and ROHQ, constitute the entire agreement between you and ROHQ concerning the Services and supersede all prior or contemporaneous communications, proposals, and representations, whether oral or written.
